Terms of Service

1. Introduction
These terms (“Terms”) constitute a legal agreement between you and UNEEDCOMMS US, Inc. (“Company,” “we,” “us,” or “our”) that governs your access to and use of the website, software, application and related functionality, located at https://decageo.ai and operated by the Company (collectively, the “Services”). By accessing, registering for, or using any part of the Services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein or made available to you.
2. Definitions
- User: An individual or legal entity who has accepted these Terms and uses the Services.
- Account: The login credentials and profile created by the User for access to the Services.
- Service Data: All data, visualizations, analytics, metrics, reports, rankings, insights, and dashboards provided through the Services. Service Data is generated using the Company's proprietary methodology and is the property of the Company.
3. Account Creation and Management
- Authentication.The User creates an Account by signing in through Auth0, the Company's authentication infrastructure provider. By doing so, the User authorizes the Company to access and use the profile information (name, email address, and profile picture) provided through the supported identity providers in accordance with our Privacy Policy.
- Accuracy. All information provided must be truthful, accurate, and up-to-date. The Company may suspend or terminate the Account if the User provides false or misleading information.
- Security. The User is responsible for maintaining the confidentiality of their Account credentials and must not share them with any third party. If unauthorized access is suspected, the User must immediately notify the Company at support@decageo.ai.
- Responsibility. The User is responsible for all activity that occurs under their Account, whether or not authorized.
4. Use of the Services
4.1 Overview
DecaGEO is a Generative Engine Optimization (GEO) ranking and brand analysis platform. The Services provide brand visibility rankings and analytics across generative AI search environments, including ChatGPT, Perplexity, Google AI Overviews, etc.
4.2 Data Methodology
Rankings and analytics presented through the Services are estimations and extrapolations derived from third-party data sources using the Company's proprietary query methodology. Service Data does not represent exact, verified, or exhaustive measurements of brand visibility. Results may vary over time due to changes in third-party data sources.
No User personal information is transmitted to third-party data source providers in the process of generating Service Data.
4.3 Scope
The Service is a data analytics tool. The Company does not influence, promote, or modify any brand's ranking or visibility in any third-party platform. The Company does not guarantee specific outputs or results from using the Services.
4.4 Availability
The Company may modify, suspend, or discontinue parts of the Services for maintenance, upgrades, or operational reasons. Material changes to the Services will be notified at least seven (7) days in advance.
4.5 New Features and Supplemental Terms
The Company may add new features or services in the future, including but not limited to AI-powered functionality. Such additions may be governed by supplemental terms that will be presented to the User at the time of release, and the User's continued use of the affected features will constitute acceptance of those supplemental terms.
5. Intellectual Property and Data
5.1 Company Ownership
The Company retains all rights to the Services software, technology, algorithms, ranking methodologies, and all Service Data. Nothing in these Terms transfers any ownership rights to the User.
5.2 User License
Subject to compliance with these Terms, the Company grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the User's internal business purposes.
5.3 Service Data Usage
- Internal Use. The User may use Service Data solely for internal business purposes, including internal reports, presentations, and strategic analysis.
- No Redistribution.The User may not redistribute, resell, sublicense, or publicly display Service Data in bulk without the Company's prior written consent. This includes making Service Data available through the User's own products, services, APIs, or data feeds, as well as using Service Data in marketing, advertising, promotional, or press materials.
- No Misrepresentation. The User shall not represent Service Data as independently verified facts, audited metrics, or official brand performance indicators.
- AI Training Prohibition. The User shall not use Service Data as inputs, prompts, or training data for any artificial intelligence, machine learning, or similar system.
- Aggregated Data. The Company may use aggregated, de-identified data derived from usage of the Services for benchmarking, research, and service improvement.
6. Prohibited Conduct
The User must not:
- Use any automated means (including bots, scrapers, crawlers, or scripts) to access the Services or extract Service Data;
- Attempt to reverse-engineer, decompile, or otherwise derive the ranking algorithms or methodologies used by the Services;
- Resell, redistribute, or commercially exploit Service Data without the Company's prior written consent;
- Use the Services or Service Data to develop, train, or improve a competing product or service;
- Use Service Data to defame, disparage, or intentionally mislead about any brand, company, or individual;
- Circumvent, disable, or interfere with any security, access control, or rate-limiting features of the Services;
- Publish benchmarks or performance information about the Services without the Company's prior written consent;
- Use the Services in any manner that violates applicable laws or regulations;
- Impersonate any person or entity, or misrepresent affiliation with any person or entity.
Violation may result in immediate Account suspension or termination.
7. Third-Party Services
To provide the Services, the Company uses third-party services including:
- Authentication infrastructure: Auth0
- Cloud hosting: Amazon Web Services (AWS)
- Analytics: Google Analytics, Google Tag Manager, Microsoft Clarity
- Email marketing: Loops
- Customer support & communications: Intercom (support conversations), Tally (Contact menu feedback forms)
The User acknowledges that those services' own terms and policies apply. See the Privacy Policy for further details. The Company is not liable for any damage caused by the use or unavailability of these third-party services.
8. Termination
- By User. The User may stop using the Services and request Account deletion at any time by contacting support@decageo.ai.
- By Company.The Company may suspend or terminate the User's Account immediately if the User violates these Terms. The Company may also terminate the Account with thirty (30) days' notice for any reason, including discontinuation of the Services.
- Effect.Upon termination, the User's access to the Services ceases immediately. The Company will retain or delete personal information in accordance with the Privacy Policy. Sections 2, 5, 6, 9, 10, and 12 survive termination.
- Data Export. The User may request an export of their Account data prior to termination. The Company will provide the data in a commonly used, machine-readable format within a reasonable timeframe.
9. Disclaimers and Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICE AND ALL SERVICE DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING CONTINUOUS SERVICE, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR SUITABILITY OF ANY SERVICE DATA FOR ANY PARTICULAR PURPOSE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SERVICE DATA IS DERIVED FROM THIRD-PARTY SOURCES AND PROPRIETARY PROCESSING METHODOLOGIES AND IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. SERVICE DATA SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR BUSINESS DECISIONS. THE USER IS SOLELY RESPONSIBLE FOR EVALUATING THE APPROPRIATENESS OF SERVICE DATA AND FOR ANY CONCLUSIONS, DECISIONS, OR ACTIONS TAKEN BASED ON SUCH DATA.
9.2 Limitation of Liability
- Excluded Damages.The Company is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from or related to the User's use of or reliance on Service Data, any inaccuracy or changes in Service Data, interruption or unavailability of the Services, or any third-party actions or content.
- Liability Cap.To the maximum extent permitted by applicable law, the Company's aggregate liability arising out of or related to these Terms shall not exceed the total amount of fees actually paid by the User (if any) to the Company in the twelve (12) months immediately preceding the event giving rise to the claim.
- Third-Party Services.The Company shall not be liable for losses arising from third-party services or the User's misuse or unauthorized access of the Services.
10. Governing Law and Dispute Resolution
- Governing Law. These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict of laws principles.
- Informal Resolution. Before initiating any formal proceedings, the User agrees to contact the Company at support@decageo.ai and attempt to resolve the dispute informally for at least thirty (30) days.
- Jurisdiction. The User consents to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.
- Mandatory Local Law.Notwithstanding the foregoing, mandatory consumer protection, data protection, or other non-waivable laws of the User's jurisdiction may apply to the extent required by such laws, and nothing in these Terms is intended to limit rights that cannot be waived under applicable law.
- Class Action Waiver.THE USER AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. No arbitrator or court may consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding. If a court determines that this waiver is unenforceable with respect to any claim or remedy, then such claim or remedy (and only such claim or remedy) shall be severed and may proceed in court, while all other claims shall remain subject to this waiver.
11. Changes to the Terms
- Notice. The Company may modify these Terms at any time. The Company will provide at least seven (7) days' notice via email or in-app notice for general changes, and at least thirty (30) days' notice for material changes.
- Acceptance. If the User continues to use the Services after the effective date of the revised Terms, the User is deemed to have accepted the changes.
12. General Provisions
- Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between the User and the Company regarding the Services and supersede any prior agreements or communications.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force.
- Waiver. The Company's failure to enforce any provision shall not constitute a waiver of that provision.
- Assignment. The User may not assign or transfer rights under these Terms without the Company's written consent. The Company may assign its rights and obligations in connection with a merger, acquisition, or sale of assets.
- No Agency. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
- Electronic Communications. Notices to the Company or Users shall be made electronically (via email or in-app notifications) and are deemed received when sent.
- Force Majeure. The Company shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including natural disasters, pandemics, government actions, internet or telecommunications failures, cyberattacks, or changes to or discontinuation of third-party data sources or APIs.
